Definitions

HIPAA
De-identification and analytics
[ADDITION – HIPAA] When we use information for analytics and quality improvement, we will either (a) use PHI in a manner consistent with HIPAA for health care operations; or (b) de-identify the data in accordance with the HIPAA De-identification Standard (45 C.F.R. § 164.514) using either the Safe Harbor method or an expert determination, after which HIPAA no longer applies to that de-identified data. In Short: We collect personal information that you provide to us.
We collect personal information that you voluntarily provide to us when you express an interest in obtaining information about us or our Products and Services, when you participate in activities on the Services, or otherwise when you contact us.
Personal Information Provided by You. The personal information that we collect depends on the context of your interactions with us and the Services, the choices you make, and the products and features you use. The personal information we collect may include the following:

Sensitive Information. When necessary, with your consent or as otherwise permitted by applicable law, we process the following categories of sensitive information:

Scope of HIPAA online
[ADDITION – HIPAA] HIPAA applies to our processing of PHI when we receive, use, create, maintain, and/or disclose PHI through our websites and online platforms, including any patient portals, online intake or appointment request forms, secure messaging, or similar features. In such cases, information such as a name, contact details, requested provider, service type, or other information submitted to request care is PHI and will be handled in accordance with HIPAA. [ADDITION – HIPAA] To the extent our websites/online platforms collect metadata or identifiers via cookies, pixels, SDKs, session replay, analytics, advertising technology, or similar tracking technologies, such data can constitute PHI when it relates to an individual’s health care or attempts to obtain health care from us (for example, when tied to visits to parts of the site associated with health services, or when combined with unique identifiers). Accordingly, we treat such data as PHI where applicable and apply HIPAA safeguards to mitigate risk.Tracking technologies and metadata
[ADDITION – HIPAA] We evaluate all tracking technologies in use on our websites/online platforms to determine whether they collect or disclose PHI, and we apply the following precautions where applicable: (i) minimize or disable collection on pages that involve PHI; (ii) avoid using third-party tracking for behavioral advertising on PHI-related pages; (iii) implement IP truncation or comparable controls where feasible; (iv) use server-side tagging or comparable techniques to limit third-party access; (v) restrict disclosures to vendors with appropriate Business Associate Agreements (BAAs) when the vendor may receive PHI; and (vi) prohibit the use or disclosure of PHI for marketing without a valid HIPAA authorization, unless an exception applies. [ADDITION – HIPAA] We do not permit third parties to use PHI collected via our websites/online platforms for their own purposes, and we prohibit re-identification or combining PHI with other data for advertising or profiling, except as allowed by HIPAA and applicable law pursuant to a BAA and our instructions. Where tracking is not necessary for site functionality or permitted under HIPAA, it will not be deployed on PHI-related pages.Patient portals and online intake
[ADDITION – HIPAA] Information submitted through any patient portal, online intake form, telehealth interface, secure messaging, or appointment request feature—such as name, contact information, symptoms or concerns, preferred services, and scheduling details—constitutes PHI when associated with the request for or provision of care, and is processed under HIPAA. We collect only what is reasonably necessary, transmit it via encrypted channels, and store it in systems protected by access controls consistent with HIPAA Security Rule requirements. [ADDITION – HIPAA] Do not submit sensitive clinical details through non-secure channels (e.g., ordinary email or unencrypted webforms) unless specifically designated as secure; instead, use the portal or other secure method provided by [ENTITY/ENTITIES]. If non-secure channels are used inadvertently, we will handle the information as PHI and secure it promptly upon receipt.

We process your personal information for a variety of reasons, depending on how you interact with our Services, including:
- To deliver and facilitate delivery of services to the user. We may process your information to provide you with the requested service.
- To respond to user inquiries/offer support to users. We may process your information to respond to your inquiries and solve any potential issues you might have with the requested service.
- To enable user-to-user communications. We may process your information if you choose to use any of our offerings that allow for communication with another user.

Uses and disclosures of PHI
[ADDITION – HIPAA] We use and disclose PHI collected through our websites/online platforms only as permitted by HIPAA, including for treatment, payment, and health care operations; as required by law; for public health and safety; for health oversight activities; to avert a serious threat to health or safety; and for other purposes described in our HIPAA Notice of Privacy Practices. Uses and disclosures for marketing require a valid authorization unless an exception applies. We do not sell PHI. [ADDITION – HIPAA] We may disclose PHI to Business Associates that perform services on our behalf (e.g., hosting, analytics configured to avoid impermissible disclosures, patient communications, EHR, telehealth platform providers), provided there is an executed BAA requiring the Business Associate to safeguard PHI and use it only for contracted purposes.Individual rights for PHI

Requests may be submitted via [CONTACT METHOD], and we will respond in accordance with HIPAA timelines. Some rights may be subject to limitations under HIPAA.Security safeguards
[ADDITION – HIPAA] We implement administrative, physical, and technical safeguards reasonably designed to protect the confidentiality, integrity, and availability of electronic PHI (ePHI), including risk analyses, workforce training, role-based access, unique user IDs and multi-factor authentication where feasible, encryption of ePHI in transit and at rest, audit logging and monitoring, vendor due diligence and BAAs, and incident response procedures consistent with the HIPAA Security Rule.

- Business Transfers. We may share or transfer your information in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.
- Business Operations.We may share or transfer your information to our trusted services providers which help us operate our business, comply with applicable laws, enhance our capabilities to serve you better, and improve our Services and your experience with us.

We will only keep your personal information for as long as it is necessary for the purposes set out in this Privacy Notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements).
When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.

In Short: We aim to protect your personal information through a system of organizational and technical security measures.
We have implemented appropriate and reasonable technical and organizational security measures designed to protect the security of any personal information we process. However, despite our safeguards and efforts to secure your information, no electronic transmission over the Internet or information storage technology can be guaranteed to be 100% secure, so we cannot promise or guarantee that hackers, cybercriminals, or other unauthorized third parties will not be able to defeat our security and improperly collect, access, steal, or modify your information. Although we will do our best to protect your personal information, transmission of personal information to and from our Services is at your own risk. You should only access the Services within a secure environment.
- DO WE COLLECT INFORMATION FROM MINORS?
In Short: We do not knowingly collect data from or market to children under 18 years of age.
We do not knowingly collect, solicit data from, or market to children under 18 years of age, nor do we knowingly sell such personal information. By using the Services, you represent that you are at least 18 or that you are the parent or guardian of such a minor and consent to such minor dependent’s use of the Services. If we learn that personal information from users less than 18 years of age has been collected, we will deactivate the account and take reasonable measures to promptly delete such data from our records. In Short: You may review, change, or terminate your account at any time, depending on your country, province, or state of residence.
Withdrawing your consent: If we are relying on your consent to process your personal information, which may be express and/or implied consent depending on the applicable law, you have the right to withdraw your consent at any time. You can withdraw your consent at any time by contacting us by using the contact details provided in the section “HOW CAN YOU CONTACT US ABOUT THIS NOTICE?” below.
However, please note that this will not affect the lawfulness of the processing before its withdrawal nor, when applicable law allows, will it affect the processing of your personal information conducted in reliance on lawful processing grounds other than consent.

- CONTROLS FOR DO-NOT-TRACK FEATURES
Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track (“DNT”) feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage, no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this Privacy Notice.
California law requires us to let you know how we respond to web browser DNT signals. Because there currently is not an industry or legal standard for recognizing or honoring DNT signals, we do not respond to them at this time.

In Short: If you are a resident of California or Virginia, you may have the right to request access to and receive details about the personal information we maintain about you and how we have processed it, correct inaccuracies, get a copy of, or delete your personal information. Will your information be shared with anyone else?

We may use your personal information for our own business purposes, such as for undertaking internal research for technological development and demonstration. This is not considered to be “selling” of your personal information.
We have not disclosed, sold, or shared any personal information to third parties for a business or commercial purpose in the preceding twelve (12) months. We will not sell or share personal information in the future belonging to website visitors, users, and other consumers.
Right to Know. You have the right to request that we disclose certain information to you about our collection and use of your personal information over the past 12 months. Once we receive and confirm your verifiable consumer request, we will disclose to you:
- The categories of personal information we collected about you;
- The categories of sources for the personal information we collected about you;
- Our business or commercial purpose for collecting that personal information;

Upon receipt of a verifiable consumer request (see below), we will provide a response to such requests. Any disclosures we provide will only cover the 12-month period preceding the receipt of your verifiable consumer request. With respect to personal information collected on and after January 1, 2022, and to the extent expressly required by applicable regulation, you may request that such disclosures cover a period beyond the 12 months referenced above, provided doing so would not require a disproportionate effort by us.
Right to Delete. You have the right to request that we delete any of your personal information that we collected from you and retained, subject to certain exceptions. Once we receive and confirm your verifiable consumer request, we will delete (and direct our service providers and contractors, as applicable, to delete) your personal information from our records, unless an exception applies.
Right to correct. You have the right to request that we correct any inaccurate personal information we maintain about you, taking into account the nature of that information and purpose for processing it. Upon receipt of a verifiable consumer request, and as required by the CCPA, we will provide a response to such requests.
Nondiscrimination. We will not discriminate against you for exercising any of your CCPA rights. The right to nondiscrimination also includes an employee’s, applicant’s, or independent contractor’s right not to be retaliated against for the exercise of their CCPA rights.

Under certain US state data protection laws, you can designate an authorized agent to make a request on your behalf. We may deny a request from an authorized agent that does not submit proof that they have been validly authorized to act on your behalf in accordance with applicable laws.
Upon receiving your request, we will need to verify your identity to determine you are the same person about whom we have the information in our system. We will only use personal information provided in your request to verify your identity or authority to make the request. However, if we cannot verify your identity from the information already maintained by us, we may request that you provide additional information for the purposes of verifying your identity and for security or fraud-prevention purposes.
If you submit the request through an authorized agent, we may need to collect additional information to verify your identity before processing your request and the agent will need to provide a written and signed permission from you to submit such request on your behalf.
- California “Shine The Light” Law
California Civil Code Section 1798.83, also known as the “Shine The Light” law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year. The information (Phone Numbers) obtained as part of the SMS consent process will not be shared with third parties for marketing purposes.

If you have consented to receive text messages from LearnWell Education, you may receive messages related to the following (provide specific examples):
- Appointment reminders
- Follow-up messages
- 2 Factor Notifications
Example: “Hello, this is a friendly reminder of your upcoming appointment with Dr. Smith at LearnWell Virtual on 5-22-25 at 5PM. Reply STOP to opt out of SMS messaging at any time.”
